I. Standard Business Terms

§ 1 Basic Provisions

(1) These General Terms and Conditions shall apply to all business transactions, orders and contracts concluded between YUE PLUS TOYS and customers through our official website. Any conflicting terms from the customer shall only be valid with our written confirmation.

(2) Our products and wholesale services are exclusively offered to business customers, including entrepreneurs, companies, retailers and institutional buyers. Orders placed by private end consumers are not accepted.

§ 2 Conclusion of Contract

(1) All product displays, descriptions and prices published on the website are non-binding product information and do not constitute a legally binding offer.

(2) Customers may submit a binding order through the website shopping cart system or by official email inquiry.

(3) After completing cart confirmation, filling in shipping information and confirming payment terms, the customer may submit the order. The customer will receive an automatic order confirmation email, which only confirms receipt of the order and does not represent successful contract conclusion.

(4) The sales contract is officially concluded within 48 hours after we issue a formal order confirmation, PI confirmation or shipment arrangement. If we do not confirm the order within the valid period, the order will be automatically invalidated, and any prepaid payment made by the customer shall be non-refundable.

(5) Custom quotations, OEM/ODM offers and private label solutions are valid for 5 calendar days from the date of issuance.

(6) All order notifications, confirmations and business communications are sent by email. Customers are responsible for ensuring the submitted email address is valid and accessible without spam interception.

§ 3 Prices, Payment & Shipping Costs

(1) All prices displayed on the website are net wholesale prices, excluding VAT, customs duties, import taxes and other local fees.

(2) Shipping fees, container charges and logistics costs are calculated separately according to actual order volume and destination, unless marked as free shipping.

(3) Payment methods are displayed on the website or specified in formal quotations. All order payments are due immediately upon confirmation unless otherwise agreed in writing. No unauthorized cash discount is allowed.

§ 4 Delivery Conditions

(1) Delivery time is estimated on the product page or in the quotation. Only written confirmed delivery schedules are legally binding. For prepaid orders, shipment will be arranged only after full payment is received.

(2) In case of product shortage, production adjustment or force majeure, we will promptly notify the customer and provide alternatives or full refund arrangements.

(3) International sea freight shipping is the main delivery method. All shipping risks after goods departure shall be borne by the customer. Customers may apply for additional cargo insurance at their own cost.

(4) Partial shipment is allowed according to production and shipping arrangements without extra charges for customers.

§ 5 Warranty & After-Sales Policy

(1) We provide standard product quality warranty for all bulk wholesale products. The warranty scope covers manufacturing defects and quality non-compliance.

(2) Product quality is subject to our official product specifications and confirmed sample standards. Third-party advertisements or public descriptions shall not be regarded as quality agreement basis.

(3) Customers shall inspect goods carefully after arrival. Any visible quality problems must be reported within 7 working days with detailed description and clear photo or video evidence for official after-sales verification.

(4) For verified quality issues, we provide two optional solutions: free product replacement or official return address in Germany for customer returns. We will provide professional and complete after-sales handling for all valid quality problems.

(5) Customized products with exclusive logos, custom packaging or exclusive designs are non-returnable and non-refundable.

§ 6 Retention of Title

(1) All delivered goods remain the property of YUE PLUS TOYS until full payment is completed.

(2) Customers may not pledge, mortgage or resell unpaid goods before full settlement.

(3) Customers are allowed to resell goods in normal business operations under the condition of complete payment performance.

§ 7 Liability Limitation

(1) We are fully liable for personal injury, intentional damage, gross negligence and legally mandatory liability scenarios.

(2) For minor negligence, our liability is limited to foreseeable typical contract losses.

(3) We do not guarantee 100% uninterrupted website availability and shall not be liable for network instability, system failure or third-party logistics delays caused by objective factors.

§ 8 Governing Law & Jurisdiction

These terms are governed by the laws of the People’s Republic of China, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction and performance is our business location.
